Richard A. Mager
Managing Director

Mr.
Mager has in excess of twenty-five years of transactional
experience in general corporate finance, banking, and
leveraged acquisition transactions. Prior to co-founding
Cove Partners in 1996, Mr. Mager previously served as Senior
Vice President of University Group, Inc., a publicly-held
diversified financial services company, and as President and
Chief Executive Officer of First Equity Group. In addition,
Mr. Mager has served as a board member of privately-held
companies, as well as both public and privately-held
financial institutions with combined assets in excess of two
billion dollars.

Patrick Walsh

Mr. Walsh has in excess of twenty-five years of corporate restructuring, investment banking and related financial experience. For approximately twenty years, Mr. Walsh was with GE Capital, serving in numerous capacities over that period of time, including Vice President, Underwriting for both GE Capital, Commercial Finance and GE Capital, Capital Funding as well as Senior Vice President of GE Capital, Capital Funding's Restructuring Group and as Senior Vice President, Portfolio. Subsequent to his tenure with GE Capital, and prior to joining Cove Partners as a Managing Director, Mr. Walsh was a Managing Director at Cerberus Capital Management and a Senior Vice President at CapitalSource. Mr. Walsh received a B.S. degree in finance from Fairfield University. Mr. Walsh resides in Connecticut.

John B. Jackman, CFA

Mr.
Jackman has substantial senior-level valuation
experience, and specializes in the valuation of capital
stock, minority and controlling interests, privately held
interests, derivative securities, and intangible assets. He
has performed numerous valuations across a broad range of
industries in connection with mergers and acquisitions,
strategic planning, litigation support, tax, financial
reporting, and estate and gift tax purposes, in addition to
valuation work specifically for financial reporting
requirements, including “Fresh Start Accounting”, and SFAS
141, SFAS 142, SFAS 144, and SFAS 123r requirements.
Prior
to joining Cove Partners, Mr. Jackman was most recently with
Navigant Capital Advisors, and had previously been
associated with Kroll Zolfo Cooper, and Evans & Evans, Inc.
of Calgary, Canada. Mr. Jackman graduated from California
State University, San Marcos with a B.S. in Business
Administration and subsequently earned a Master’s Degree in
International Management from Thunderbird – The Garvin
School of International Management, with a concentration in
finance. John also attained the Chartered Financial Analyst
designation in 2002, and is currently a member of the CFA
Institute and the CFA Society of San Diego.

Douglas Paulin CPA

Mr. Paulin has in excess of twelve years of corporate restructuring and related
financial and operational experience, and is licensed as a certified public
accountant in the state of California. Prior to joining Cove in 2010, Mr. Paulin
held numerous positions, most recently as Principal Consultant with Integris Consulting, a boutique
corporate restructuring firm based in San Diego, during which time he led the
restructuring of both a $50 million annual revenue e-commerce distribution company as
well as a significant international franchise company. Prior to his involvement with Integris, and between 1998 and 2009, Mr. Paulin held increasingly responsible financial positions with several companies in various non-related industries and with annual revenues of between $60 and $450 million. Mr. Paulin received a B.S. degree in finance from Babson College, and is the co-chair of the MIT Enterprise
Forum and the Production Chair of the Corporate Finance Council of San Diego.

Ronald DiNocco

Mr. DiNocco has in excess of twelve years of corporate restructuring and related
financial and operational experience. Prior to joining Cove in 2010, Mr. DiNocco
held numerous positions, most recently as Principal Consultant with Integris
Consulting, a boutique corporate restructuring firm based in San Diego, during which
time he led the restructuring of a manufacturer of high end temperature control
laboratory products based in San Francisco. Prior to his involvement with Integris,
Mr. DiNocco served as both CEO and CFO of Akiva Corporation, a developer of chat,
bulletin board, and instant messaging software, as well as in the finance departments
of both an e-commerce start-up and a global publicly-held telecommunications company.
Mr. DiNocco received his degree from Babson College.

Wenzhao "Connie" Wang

Ms. Wang has nearly twenty years of extensive international experience with an emphasis on China gained through her distinguished diplomatic and legal careers. Prior to becoming a lawyer, Ms. Wang spent thirteen years as a diplomat in various capacities in the Chinese Foreign Service including serving as press officer for Chinese President Jiang Zemin during his official visits to foreign countries, and as a diplomat at the Chinese Mission to the United Nations in New York. After obtaining her law degree, Ms. Wang worked at two major U.S. based international law firms on general corporate law, venture capital financing, M&A and cross-border transactions between U.S. and Chinese companies. Ms. Wang has also provided strategic counseling and advisory services to American companies conducting business within the People's Republic of China in the areas of M&A, joint-ventures, government relations, regulatory solutions, outsourcing of manufacturing, information technology and business process ("ITO/BPO"),
as well as market entry into the People's Republic of China. Ms. Wang has also
served as Overseas Legal Counsel for the China Marketing Association
since 2004. At Cove Partners, Ms. Wang focuses on advising Chinese companies on
their U.S. investment and market entry strategies, specifically,
in the areas of reverse merger/IPO and cross-border M&A.
In addition to a Juris Doctor's degree from the University of Minnesota, Ms. Wang also has a Master's degree in International Public Policy from the School of Advanced International Studies (SAIS), Johns Hopkins University and Bachelor of Arts of English Language and Literature from Nanjing University.

Randall J. Stein

Mr.
Stein has in excess of ten years of corporate finance
experience as a result of his previous positions with
Granite Financial Group where he was a Vice President,
Investment Banking, and Direct Placement, Inc. where he was
an Investment Banking Specialist. Mr.Stein has been
responsible for originating approximately $400 million of
equity financing transactions for public companies during
the past five years. Mr.Stein attended the University of
Wisconsin at Milwaukee.

I. Randolph S. Shiner

Mr. Shiner has in excess of twenty years of experience advising and counseling both public and privately-held clients from startups to Fortune 50 companies in connection with strategic licensing, mergers and acquisitions, general litigation and other corporate matters. His clients have been involved in a broad cross-section of industries including medical devices, real estate, terrestrial and satellite telecommunications, insurance, software and finance. Mr. Shiner has been admitted to the Bar in Georgia, Wisconsin and California and holds an active law license in the State of California. Mr. Shiner earned his B.A. from the University of Wisconsin-Madison and his J.D. from Emory University School of Law.

Stuart Davidson

Mr. Davidson has eight years of investment banking and related financial experience. As an Associate with Cove Partners LLC he worked on numerous engagements for clients in the technology and transportation sectors. Prior to rejoining Cove Partners as a Vice President, Mr. Davidson was a Senior Associate with River Capital, Inc., the oldest private equity firm in the Southeast, where he was involved in sourcing and evaluating new investment opportunities and managing existing portfolio companies. Prior to his initial tenure with Cove Partners, Mr. Davidson was an Associate with Mercer Management Consulting, where he covered clients in the aerospace, aviation, technology and oil & gas sectors. Before joining Mercer and while still in business school, Mr. Davidson worked in S.G. Cowen's technology investment banking group in San Francisco. Prior to business school, Mr. Davidson was an Analyst for The Transportation Group, a boutique advisory firm focused on aviation and rail leasing, where he worked on several transactions in the firm's London and New York offices and earned his Series 7 and 63 licenses. Prior to The Transportation Group, Mr. Davidson was an Analyst in Salomon Smith Barney's investment banking division in New York.
Mr. Davidson received a bachelor's degree from Dartmouth College, and earned his MBA at the UCLA Anderson School of Management, where he was elected president of the Anderson Student Association. Born and raised in Southern California, Mr. Davidson now resides with his wife in Atlanta.

Prior to originally joining Cove Partners LLC as an Analyst, Ms. Jerzyk worked on the New York Mercantile Exchange as a broker's assistant in the COMEX division, as well as having worked in the marketing department of a book distribution company.
